The company GERIP is registered in the Commercial Register of Lyon under the number RCS 351 150 651. The company has 50,000 Euros of capital, and is headquartered at 3 allée du Grand Chêne, 69290 Saint Genis-les-Ollières. The company e-mail address is firstname.lastname@example.org.
General Terms of Service Delivery: GERIP is a company offering services in the following domains: design, publishing and services in speech therapy, cognitive science, the fight against illiteracy, acquisition of general knowledge, brain stimulation for seniors.
Since 1989, GERIP has specialized in cognitive assessment and remediation by means of innovative digital solutions.
These conditions, along with any special conditions, constitute the only clauses of the sales contract. The conditions therefore prevail over any condition of purchase, except formal and express dispensation from GERIP.
Placing an order implies full and unreserved adherence of the Client to these general terms of sale.

Your order will be shipped upon receipt of your payment. In case of non-fulfilment or partial fulfilment of an order, the responsibility GERIP will be strictly limited to the amount of the order (prorated for partial non-performance) and cannot give rise to any additional compensation.In order for your order to be submitted to GERIP, you must click “Submit Order” at the end of the order form on our website. The data collected by GERIP (e.g. customer details, content, date, and order total) will serve as proof of the sales contracts between the client and GERIP, as well as towards third parties.
GERIP reserves the right to refuse a sale for any reason whatsoever, especially with respect to a dispute over payment of a previous sale or service with the concerned customer. GERIP also reserves the right to change without notice the terms of sale.
GERIP reserves the right to change the prices of promotional offers and purchasing options at any time and without notice.
There are several different payment methods.
Warning - for certain types of products, only secure online payment by a secured credit card is allowed.
For payment by Visa:
You will be redirected to the secure server of CIC bank, where you can enter your card information. Your card information is encrypted directly by the security system used by the bank. GERIP does not store any banking information and is not aware of your credit card number.
GERIP has adopted the SSL encryption process, which ensures the security of exchanges and transactions by encrypting all the personal data necessary for processing orders, including postal and email addresses, as well as bank details. The Customer’s card information is also encrypted and transmitted directly to CIC bank, via a secure MERCANET connection, without passing by the company website, and without access by any member of GERIP. In addition, card information of Customers are never stored on the GERIP site.
GERIP does not retain any card or bank information submitted by mail or by fax. GERIP reserves the right to refuse to process an order whose payment has been refused by the payment centers concerned.
Payment by phone with Visa:

Your order will be definitively confirmed and shipped from the date of receipt of the check.
The customer remains at all times responsible for such a dispatch and safety. GERIP can not be held responsible for any loss or theft during such a shipment.
In case of any incident concerning payment, GERIP reserves the right to suspend any current orders and to refuse to honor any new order until full payment of the amounts due.
The transfer of ownership of the goods supplied or delivered is suspended until full payment of the invoice amount including shipping and packaging by the customer and this without affecting the transfer of risk.
Invoices are payable once the order has been placed, and no discount for early payment will be applied (a 30-day period upon order placement, per administrative mandate). Penalties for delayed payment will be incurred under the law 92-1442, 31.12.1992: 1.5 times the legal interest rate. Penalties will begin from the date stipulated in the General Terms and Conditions of Sales.
The prices are in Euros, VAT without discount and excluding shipping costs, delivery and insurance, which are charged extra, and from which any discount will be deducted.
The selling price of a product can be changed at any time without notice. This Customer will be notified of any changes before order confirmation.
For all products shipped outside the European Union and Dom-Tom to business customers, the price will automatically be calculated excluding taxes on the invoice.
Customs duties or other local taxes or import duties or state taxes may be payable. These duties and taxes are not within the purview of GERIP. They will be the responsibility of the Customer and under his or her full responsibility in terms of returns and payments to the authorities and/or agencies of the countries concerned. Unless special precision is requested of GERIP, products will be delivered with their original specifications and other specifications reported by direct suppliers of GERIP.
Right to retract:
Under Article L121-16 of the Consumer Code, any non-professional customer purchasing a product by correspondence has a period of 7 days from the delivery of his or her order to return the product to the seller for an exchange or refund, without penalty, except for return shipping costs.
This right of return will not be exercised for products whose packaging has been unsealed; this also applies for any item returned incomplete, damaged or soiled.
In case of return, GERIP will choose whether the refund will involve crediting the bank account of the non-professional customer or sending a check to the non-professional customer.
GERIP draws particular attention to the need for the customer to communicate a primary email address that is valid. Unless all fields of the registration form have been completed correctly, Gerip reserves the right to terminate without notice any account registered with erroneous information.
Any communication made by GERIP to this email address is indeed deemed to have been received and read by the client, who therefore undertakes to consult regularly messages received at this e-mail address and, where appropriate, to respond as soon as possible. Clicking on “Submit order” after having read the General Terms and Conditions of Sales, formalizes the order confirmation and is irrevocable acceptance of these Terms and Conditions.
We will do our best to process your order as soon as possible.
If an item is temporarily out of stock, it will be shipped immediately upon replenishment.
If the delivered products do not comply, in type or in quality, upon delivery, the customer must, on pain of nullity, make claims to GERIP in writing (by mail, fax , or signed email) within seven (7) days following the date of delivery.
In case there is an impossibility of receiving the parcel for a given period, it is important to communicate this to us.
Failing delivery, any return postage will be paid for by the customer. Any resulting delays do not give the buyer the right to cancel the sale, refuse the merchandise, or claim damages.
In addition, GERIP is released from the obligation of delivery during any fortuitous event of force majeure such as a strike, fire, flood, etc.
Minimum system requirements:
The customer acknowledges having been informed that the computer equipment of which he or she is in possession must have a minimum level of performance to use any software made available by GERIP as a publisher or distributor.
Any use is conditioned by the use of material that meets the minimum required performance level. Prior to any order and as part of its duty to advise, GERIP can verify this minimum configuration upon request on condition that the customer provides full documentation inherent to the computer equipment used.
All data of any kind, including the texts, exercises of all types, graphics, animations, databases, computer programming, logos, icons, images, audio or video clips, trademarks, software, shown on the Site are necessarily protected by copyright, trademark law and other intellectual property rights and belong to GERIP or to third parties having authorized GERIP for their exploitation.
GERIP grants the customer the right to personal or professional, non-collective and non-exclusive usage of such content.
The customer agrees to use the services of iGerip fairly and honestly, as intended, for his or her own needs and is forbidden to do trade with third parties. The client, except to incur civil and criminal liability, therefore undertakes not to reproduce, summarize, modify, alter or redistribute without prior express consent of GERIP, all or part of the content referred to in this article.
The entire Site, as well as all data, constitute the Databases of the Site. These Databases are the exclusive property of GERIP, and are protected by the provisions of the Code of Intellectual Property relating to copyright, and by the law of 1 July 1998 transposing the European Directive of 11 March 1996 on the legal protection of Databases.
GERIP, GENYX and IGERIP are trademarks of GERIP and are protected by copyright. The customer agrees not to infringe in any way upon these brands.
Data Protection Act
1 - In accordance with Law No. 78-17 of 6 January 1978 on computers, files and freedoms, and the decision of the CNIL (Commission Nationale Informatique et Liberté) of 10 July 2006 to remove the requirement of website declaration in favor of the procedure for reporting any processing associated with said site, the site and the customer file/prospects of the company GERIP was declared to CNIL by GERIP.
2 – Customers who provided personal information through the Site therefore have, in accordance with the Act of 6 January 1978, a right to access data concerning them and the right to modify, correct and delete this information. In order to exercise this right, they must send a letter or an e- mail to the contact details stated under section 10.1 hereof.
3 – The personal data related to customers collected through forms, and all future information, are intended for the exclusive use by GERIP in the context of the implementation of services offered to customers, and are not subject to communication or transfer to third parties, other than technical service providers which may be in charge of management of services provided by Gerip, and these providers are obliged to respect the confidentiality of information and to use it only for the specific operation for which they must intervene.
4 – GERIP keeps the personal data of customers on its own servers and undertakes to keep strictly confidential the personal data collected. Customer contact information will also be used to customize and enhance communication with the latter, especially by means of newsletters to which they may have subscribed.
GERIP agrees not to disclose to third parties the information you provide. This information is confidential and will only be used by the internal services of GERIP for processing your order and/or for you to receive information and promotional offers.
All data of any kind, including the texts, exercises of all types, graphics, animations, databases, computer programs, logos, icons, images, audio or video clips, trademarks, software, shown on Site and used in the software are necessarily protected by copyright, trademark law and other intellectual property rights and belong to GERIP or third parties having authorized GERIP to exploit them. The virtual characters on the Site and through the services of IGerip are fictitious. Any resemblance to real persons living or dead is purely coincidental.
GERIP grants the customer a right of usage either private or professional that is non-collective and non-exclusive concerning its content. The customer agrees to use the services of GERIP fairly and honestly, as intended, for his or her own needs and is forbidden to do trade with third parties. The client, except to incur civil and criminal liability, therefore undertakes not to reproduce, summarize, modify, alter or redistribute without prior express consent of GERIP all or part of the contents referred to in this article. Any other use constitutes infringement of and is punishable under Intellectual Property rights without prior authorization by GERIP.
Law - Litigation:
In the event that the co-contractor of GERIP would have the quality of retailer, any dispute even in case of a warranty or multiple defendants would be the exclusive jurisdiction of the Commercial Court of our headquarters. These terms represent all obligations of GERIP which reserves the right to unilaterally modify the terms hereof.
Any new clauses shall govern all future relations between the parties, and only the new version shall prevail between them, the relevant conditions being continually accessible online on the company website.
In the event that any provision of these Terms is deemed void by virtue of a law or regulation, existing or future, or by a court decision bearing the authority of res judicata and emanating from a court or other competent body, this provision of the contract would be deemed unwritten, all other provisions remaining binding between the parties.
These Terms are governed by French law both for the substantive rules as for procedural rules. Any dispute arising from the execution or interpretation of the provisions of this Agreement requires the parties to come together and try to find an amicable solution to their dispute, before applying to the appropriate court. If that fails, only the French courts may have jurisdiction over the dispute.
These terms may be changed at any time without notice by GERIP.
